Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by Justice Apex Inc. ("Justice Apex," "we," "us," "our"), a Delaware C-Corporation headquartered in Collierville, Tennessee. By accessing or using any of our Services, you agree to be bound by these Terms.

1. Services

Justice Apex operates an autonomous AI agent platform offering multiple products and services (collectively, the "Services"):

• FORGE: Multi-vertical SaaS enterprise resource planning (ERP) platform for order management, customer relationship management, storefront operations, and DSCSA compliance.
• DEFINTEL: Market intelligence and trading signal platform providing analytical tools and data-driven insights.
• JADE: AI-powered website generation platform that builds production-ready websites using machine learning and generative AI.
• PIPER: Sports betting analytics and statistical modeling platform.
• APEX Engine: Multi-instance AI platform for managing and deploying autonomous AI agents.
• HAVEN: Autism communication support system designed for children and caregivers.
• SAGE/ACE: Poker coaching and game theory optimal (GTO) analysis platform.

2. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 18 years of age to create an account. For HAVEN, a parent or legal guardian must create and manage the account on behalf of any minor user.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems.
• Interfere with or disrupt the Services, servers, or networks connected to the Services.
• Reverse engineer, decompile, or disassemble any aspect of the Services.
• Use the Services to transmit malware, spam, or other harmful content.
• Resell, sublicense, or redistribute the Services without written authorization.
• Use automated tools (bots, scrapers) to access the Services except through our authorized APIs.
• Use DEFINTEL or PIPER outputs as the sole basis for financial or wagering decisions (see Disclaimers below).

4. Subscription Plans and Payment

• Certain Services are offered on a subscription basis with recurring billing.
• Prices, features, and plan tiers are published on each product's respective pricing page and may change with 30 days' notice.
• All payments are processed securely through Stripe. We do not store your payment card details.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis. Contact us within 14 days of a charge to request a review.

5. Intellectual Property

Our Property

The Services, including all software, algorithms, AI models, designs, branding, documentation, and content created by Justice Apex, are our intellectual property or that of our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as permitted herein.

Your Content

You retain ownership of all content, data, and materials you upload to or create using our Services ("Your Content"). By using the Services, you grant us a limited, non-exclusive license to process Your Content solely to provide the Services to you.

Generated Content (JADE)

Websites and content generated by JADE using your business information are owned by you upon full payment. You receive a perpetual, non-exclusive license to use, modify, and distribute the generated content. Justice Apex retains the right to use anonymized examples of generated work for portfolio and marketing purposes.

7. DSCSA Compliance (FORGE)

FORGE includes features designed to assist with Drug Supply Chain Security Act (DSCSA) compliance. While we strive to provide accurate and complete compliance tools, you are ultimately responsible for ensuring your compliance with all applicable FDA regulations. FORGE is a compliance assistance tool and does not guarantee regulatory compliance. You should consult with qualified compliance professionals for your specific obligations.

8. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Services.
• We may perform scheduled maintenance, updates, or modifications to the Services.
• We reserve the right to modify, suspend, or discontinue any Service with reasonable notice.
• We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

9. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
• We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
• Justice Apex shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We are not liable for any trading losses, missed opportunities, or financial harm resulting from the use of DEFINTEL, PIPER, or any analytical outputs.

11. Indemnification

You agree to indemnify, defend, and hold harmless Justice Apex Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

• You may cancel your account at any time by contacting us or through your account settings.
• We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with reasonable notice.
• Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
• Provisions that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) shall survive.

13. Governing Law and Disputes

• These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
• Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Shelby County, Tennessee.
• Before filing any legal action, you agree to attempt resolution through good-faith negotiation by contacting us directly.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. For material changes affecting paid subscriptions, we will provide at least 30 days' notice. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
